Correspondent is duly qualified to do business and is in good standing in each place and jurisdiction where the nature of the business conducted by it or the ownership, lease or operation of its properties requires qualification, provided, however,that Correspondent need to not be qualified in a jurisdiction in which its failure to qualify would not have a material adverse effect on its operations under this Agreement or its financial condition.
